1. Introduction

These Terms of Use ("Terms") govern your access to and use of the Syndy platform ("Platform"), operated by Syndy Ltd, a company registered in England and Wales ("Syndy", "we", "us", "our").

By registering an account or using the Platform you agree to these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

You must be at least 18 years old and resident in the United Kingdom to use Syndy as a Buyer. Providers must be registered businesses in the United Kingdom.

3. What Syndy Does

Syndy is a demand aggregation marketplace. It enables Buyers to form Syndicates — collective purchasing groups — and enables Providers to submit competitive offers to those Syndicates. Syndy charges a platform fee on successful Commitments.

Syndy is not a party to any contract between Buyers and Providers. We facilitate introductions and manage the Commitment process, but we do not supply goods or services.

4. Your Account

You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@syndy.co.uk if you suspect unauthorised access.

5. Prohibited Conduct

You must not: (a) use the Platform for any unlawful purpose; (b) submit false or misleading information; (c) harass, abuse or harm other users; (d) attempt to circumvent Platform fees; (e) reverse-engineer or scrape the Platform.

6. Platform Fees

Syndy charges a 5% platform fee on the value of successful Commitments, charged to the Buyer. This fee is clearly displayed before any Commitment is made. VAT is applied where applicable.

7. Dispute Resolution

Syndy provides a dispute resolution service for transactions facilitated through the Platform. Our Dispute Process is described at syndy.co.uk/legal/dispute-process.

8. Limitation of Liability

To the fullest extent permitted by UK law, Syndy's total liability for any claim arising from your use of the Platform is limited to the total fees paid by you to Syndy in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the law of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you by email and by displaying a notice on the Platform. Continued use after the effective date constitutes acceptance.
